ShopZer Terms and Conditions

These Terms govern your use of the ShopZer Android app and related website (the "Platform"), operated by ShopZer ("we", "us"), India. By using the Platform you agree to these Terms, our Privacy Policy and our Product Policy. If you do not agree, do not use the Platform.

1. Nature of the Platform

1.1 ShopZer is an online marketplace/listing platform that connects customers with independent merchants.

1.2 ShopZer is not the seller. Merchants create shops and listings. Customers contact merchants directly by WhatsApp or phone and arrange the transaction between themselves.

1.3 ShopZer does not place or accept orders, provide a checkout, collect or hold payments for purchases, settle merchant proceeds, or deliver or fulfil products. Any sale contract is solely between the customer and the merchant. The only payments ShopZer collects are merchant subscription fees (Section 5).

1.3A Cart is a calculation tool only. The Platform includes a cart that adds up the listed prices of products you select, to help you calculate a total. Adding items to the cart does not place an order, reserve stock, fix a price, or create a contract with the merchant or ShopZer. The cart page asks you to contact the merchant by WhatsApp or phone, and the merchant confirms price, availability, delivery and terms. Cart totals are indicative and may not include delivery, taxes, discounts or changes in price.

1.4 ShopZer acts as an intermediary under the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020.

2. Eligibility and accounts

2.1 You must be 18 or older and able to enter a binding contract under Indian law.

2.2 Login requires OTP verification of your mobile number. You are responsible for activity under your account and for keeping your device secure.

2.3 Information you provide must be accurate and kept up to date.

3. Terms for customers

3.1 Listings are created by merchants. Descriptions, prices, availability, quality and delivery are the merchant's responsibility.

3.2 Check the merchant and product yourself before paying or sharing sensitive details. ShopZer does not verify every listing and does not guarantee any transaction.

3.3 Payment, returns, refunds, warranties and delivery are matters between you and the merchant. ShopZer is not a party to them. You may report listings or merchants to us (Section 9).

3.4 Do not misuse merchant contact details, send spam or abusive messages, or use the Platform for unlawful purposes.

3.5 Prices and availability shown on a listing are indicative and set by the merchant. Confirm them with the merchant before you buy.

3.6 Be careful when sharing payment details. Prefer payment methods that give you a record, and do not share OTPs or passwords with anyone, including ShopZer staff. ShopZer will never ask for them.

3.7 Confirm the final price, availability and delivery details with the merchant before you pay. The total on the cart page is a convenience for you and is not an offer, invoice or order confirmation.

4. Terms for merchants

By listing, you confirm that your information is accurate, that you are legally permitted to sell your products, that your products comply with applicable law, and that you will not list prohibited or regulated products. You understand that ShopZer is a listing platform and does not process customer payments, place orders or fulfil transactions.

4.3 Your shop name, address, shop location, contact numbers and listings are shown publicly.

4.4 Listing standards. Each listing must correctly state the product type, material, condition, price, and relevant details. Photos must show the actual product, and you must own or be licensed to use them. Do not make medical, therapeutic or misleading claims, and do not list the same product in unrelated categories.

4.5 Contact and conduct. Use customer contact details only to answer their enquiry. Do not spam, harass or pressure customers, and do not ask customers to pay ShopZer or imply that ShopZer guarantees the transaction.

4.6 Your responsibility. You are solely responsible for product quality, authenticity, pricing, taxes, invoices, returns, refunds, warranties, delivery and after-sales service, and for responding to customer and regulatory complaints about your products.

4.7 Accuracy and updates. Keep your shop details, contact numbers and location pin current. Remove listings that are out of stock or no longer allowed.

4.8 Reviews of your shop. We may review your shop and listings at any time and may ask you for clarification or proof that a product is allowed.

5. Merchant subscription

5.1 Merchants pay a monthly subscription to list shops and products. Current plans and prices are shown in the app at the time of purchase. We may change them, and we will give reasonable notice before a change applies to an existing subscriber.

5.2 Auto-pay. Your subscription renews automatically each month through Razorpay using the payment method you authorise. Applicable taxes are added.

5.3 Cancellation. You can cancel auto-pay in the app at any time. Cancellation stops future charges; your subscription stays active until the end of the period already paid.

5.4 No refunds. Subscription fees are non-refundable, except where required by law (for example, a payment charged in error).

5.5 If your subscription ends or lapses, your shop and listings may be hidden or removed.

5.6 Failed payments. If an auto-pay charge fails, we or Razorpay may retry. If it remains unpaid, your subscription may lapse and your shop may be hidden until payment succeeds.

5.7 Authorisation. By enabling auto-pay you authorise recurring monthly charges through Razorpay under its terms and your bank's or UPI provider's rules. Check your bank statement and cancel in the app before the next billing date to avoid a new charge.

5.8 Suspension and deletion. No refund is due if we suspend or remove your account or listings for violating these Terms, or if you delete your account.

6. Product Policy

6.1 ShopZer supports only certain low-regulation product categories. The allowed and prohibited categories and product types are set out in our Product Policy at https://shop-zer.com/product-policy, which forms part of these Terms. We may update it from time to time.

6.2 You may not disguise a prohibited product through its category, name, "gift box" packaging, "handmade" labelling or marketing claims. "Handmade" is not a legal exemption.

6.3 Listings may be reviewed automatically and manually. A product we cannot classify will not be published automatically and may need review. Our classification decisions are final, subject to Section 9.

6.4 A published listing does not mean ShopZer has confirmed it complies with all laws. Compliance remains your responsibility.

6.5 Prohibited categories. The Product Policy lists prohibited products, including food and groceries, cosmetics and personal-care, medicines and medical products, toys, electronics and smart devices, precious-metal jewellery, alcohol, tobacco and nicotine, weapons, fireworks and hazardous chemicals. Listing any of them can lead to removal and suspension.

6.6 Changes to the Product Policy. If a change makes an existing listing prohibited, we will ask you to remove it or remove it ourselves, with reasonable notice where practicable.

8.1 You own the content you upload (such as listings, shop images and profile photos). You grant ShopZer a non-exclusive, royalty-free licence to host, display, reproduce and promote it on and for the Platform, and confirm you have the right to do so.

8.2 ShopZer's name, logo, software and design belong to us or our licensors.

8.3 Our rights. We may remove listings, restrict features, or suspend or terminate accounts, including for breach of these Terms, prohibited products, inaccurate information, complaints, legal requirements or security reasons. We keep records of such decisions.

8.4A Notice and appeal. Where reasonable, we will tell you the reason for action on your account or listing and give you a chance to respond by emailing legal@shop-zer.com or support@shop-zer.com. We may act immediately, without notice, where there is a serious violation, legal order or security risk.

8.4 Account deletion. You can delete your account in the app, or by emailing support@shop-zer.com or legal@shop-zer.com. Deletion takes effect after 30 days, and logging back in within that time cancels it. During those 30 days your account is inactive and a merchant's shop and listings are hidden. Merchants must cancel auto-pay in the app before deleting their account. Fees already paid are handled under Section 5.4, and the Privacy Policy explains what data is deleted and what we must keep.

9. Complaints and grievance redressal

9.1 To report a prohibited product, infringing content or a misleading listing, contact our Grievance Officer:

9.2 We acknowledge complaints within 48 hours and aim to resolve them within one month, or within shorter timelines required by the IT Rules, 2021 for content-related complaints.

9.3 We may remove content in response to valid notices or court or government orders.

10. Disclaimers and limitation of liability

10.1 The Platform is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim warranties on accuracy, availability, quality and fitness for purpose.

10.2 ShopZer is not responsible for the quality, safety, legality, authenticity, price or delivery of any product, for the conduct of merchants or customers, or for any dispute or loss between them.

10.3 To the extent permitted by law, ShopZer is not liable for indirect, incidental or consequential loss, lost profits or loss of data. Our total liability for any claim relating to the Platform is limited to the subscription fees you paid in the previous 12 months.

10.4 Nothing in these Terms limits rights you have under the Consumer Protection Act, 2019, or any liability that cannot be excluded by law.

11. Indemnity

Merchants agree to indemnify and hold harmless ShopZer, its directors, employees and affiliates against claims, losses and expenses (including reasonable legal fees) arising from their listings, products, breach of these Terms, or violation of law or third-party rights.

12. Changes

We may update these Terms and the Product Policy. The latest versions will be posted with their date, and material changes will be notified in the app or by other reasonable means. Continued use means you accept the update.

13. Governing law and disputes

These Terms are governed by the laws of India. Subject to any non-waivable consumer rights, the courts at Indore, Madhya Pradesh, India have exclusive jurisdiction.

15. General provisions

15.1 Entire agreement. These Terms, the Privacy Policy and the Product Policy are the whole agreement between you and ShopZer about the Platform.

15.2 Severability. If any part is held invalid, the rest stays in force.

15.3 No waiver. Not enforcing a right does not waive it.

15.4 Assignment. You may not transfer your account or these Terms. We may assign them to a successor or affiliate, including a company or LLP that takes over the Platform.

15.5 Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control, including outages of telecom, cloud or payment providers, natural disasters, or government orders.

15.6 Notices. We may notify you in the app, by push notification or by SMS, WhatsApp or email to the details linked to your account. You may notify us at legal@shop-zer.com or support@shop-zer.com.

15.7 Electronic records. These Terms are an electronic record under the Information Technology Act, 2000, and need no physical or digital signature.

15.8 Third-party services. The Platform relies on third-party services such as Firebase, Mappls, Supabase, Railway, Cloudflare and Razorpay. We are not responsible for their outages or acts, but we will take reasonable steps to restore service.

15.9 Survival. Sections on content licence, liability, indemnity, governing law, and any unpaid amounts survive termination.
